In Indonesia’s current economic situation, the exploitation of its mineral resources has become even more important than before, besides which the increasing demand for energy has become a great opportunity for Indonesia with its huge deposit of mineral resources. In line with these, HP&P’s practice group has expanded to cope with the potential increase of workload in this area.

In the Mining sector, our Firm provides legal assistance and has encompassed a wide variety of mining business activities in Indonesia, which include: acquisition of mining companies; establishment of mining service companies for structure purposes; conversion of Coal Contract of Work (“CCOW”) agreements; legal due diligence exercise upon mining concession and CCOW holders; and operational regulatory needs of mining and mining service companies.

In the Oil and Gas sector, our legal assistance includes the following: rendering preliminary advice to clients with no experience in investing or doing business in the oil and gas sectors in Indonesia; establishing foreign investment companies and/or joint ventures in the oil and gas sectors; assisting in negotiations and/or obtaining various contracts with the oil and gas state owned company (Pertamina), the upstream oil and gas supervisory agency (known as BPMIGAS and BPHMIGAS), and/or contractors (KKKS) such as production sharing contracts (PSC) and KSO agreements (formerly known as technical assistance contracts (TAC)) including joint operating agreement (JOA) and farm-in and farm-out agreements, and gas sale agreements; advising or negotiating on several important aspects in relation to the obtaining of oil and gas contracts, licenses and registrations; obtaining licenses and fulfilling registration requirements for clients who will engage in providing supporting services in the oil and gas sectors such as regional autonomy aspects, environmental aspects and other aspects surrounding the business of oil and gas; and advice on tax and employment related issues as well as dispute settlement in relation to the oil and gas sectors.

In the Plantation and Forestry area of expertise, our Firm has extensive experience in covering clients’ needs in all aspects of Indonesian regulations, policy and common structures used in the plantation and forestry industries. We represent foreign investors (many of them Malaysian companies and Japanese companies), large and small domestic companies, and individuals as well as state owned companies (such as PT Perusahaan Perkebunan (PTPN) III and VII) engaged in these businesses. Our Firm is also involved in the rapidly expanding palm oil market by assisting various plantation companies to put nearly 100,000 hectares of new land into production. Members of the Group have engaged in various types of work, starting from the due diligence examination; dealings with officials in the relevant multiplicity of central and provincial government institutions; structuring the best possible scheme regarding the investment in and/or the acquisition of as well as the disposal of the ownership and/or assets; and applying for licenses required and assisting in daily operational aspects.
